Welcome to NDEIGHT. These Terms of Service ("Terms") govern your access to and use of the NDEIGHT platform and services.
By accessing or using the Services, you agree to be bound by these Terms.
1. Definitions
- Company
- "NDeight", "we", "us", or "our" refers to NDeight and its legal entity operating the platform.
- Merchant
- Any individual or business entity that registers to use the Services to distribute or offer products or services through the platform and authorizes NDeight to act as the Merchant of Record for transactions.
- Customer
- The end-user purchasing products or services from NDeight, which acts as the Merchant of Record on behalf of Merchants.
- Services
- The payment processing infrastructure, merchant-of-record services, compliance tools, billing systems, and related services provided by the Company.
- Payment Providers
- Third-party financial institutions, payment processors, banks, card networks, or blockchain networks used to facilitate payments.
- Merchant Account
- The account created by a Merchant to access the Services.
2. Merchant of Record Role
NDeight acts as the Merchant of Record for transactions processed through the platform.
This means NDeight:
- Processes payments from Customers
- Handles billing and payment collection
- Manages refunds and chargebacks
- May collect and remit applicable taxes
Merchants authorize NDeight to sell and distribute their products or services to Customers.
3. Eligibility
To use the Services you must:
- Be at least 18 years old
- Have legal capacity to enter into agreements
- Provide accurate registration information
NDeight reserves the right to refuse service at its discretion.
4. Merchant Registration
Merchants must create a Merchant Account and provide: legal name and business information; contact details; payment payout details; compliance documentation.
NDeight may request additional verification.
5. KYC and Compliance
To comply with financial regulations and fraud prevention standards, NDeight may conduct: identity verification (KYC); business verification; risk and fraud monitoring.
Accounts may be suspended if suspicious activity is detected.
6. Payment Processing
Payments are processed through authorized Payment Providers. Supported payment methods may include: credit and debit cards; alternative payment methods; cryptocurrency or blockchain networks where applicable.
Payment processing fees may apply.
7. Pricing and Fees
Merchants agree to pay applicable fees including: transaction fees; processing fees; platform fees; chargeback or dispute fees.
Fees may be updated with notice.
8. Payouts to Merchants
NDeight distributes revenue to Merchants according to the payout schedule. Payouts may be subject to: reserve balances; fraud monitoring; dispute resolution; regulatory compliance.
9. Refunds
NDeight manages refunds for transactions processed through the platform. Refund policies may vary depending on the product or service offered.
Refunds may be issued at NDeight's discretion in cases including: customer disputes; fraud; technical errors.
10. Chargebacks and Disputes
NDeight manages payment disputes and chargebacks. Merchants agree to cooperate in dispute investigations. Chargeback costs may be deducted from Merchant payouts.
11. Taxes
NDeight may collect and remit applicable taxes including: VAT; sales tax; digital services taxes.
Merchants remain responsible for any additional tax obligations.
12. Prohibited Activities
Merchants may not use the Services for illegal or prohibited activities including: fraud or scams; illegal products or services; gambling (where restricted); adult content (where prohibited); drugs or controlled substances; intellectual property infringement.
NDeight reserves the right to terminate accounts violating these rules.
13. Fraud Monitoring
NDeight actively monitors transactions to prevent fraud and abuse. Suspicious transactions may be: delayed; blocked; refunded; investigated.
14. Account Suspension and Termination
NDeight may suspend or terminate accounts if:
- these Terms are violated
- fraudulent activity is detected
- regulatory compliance requires it
Merchants may also close their accounts at any time.
15. Intellectual Property
All platform content, software, and branding are owned by NDeight or its licensors. Users may not copy, distribute, or reverse engineer the platform.
16. Data Protection
NDeight processes personal data according to its Privacy Policy. Data may be shared with: payment providers; compliance partners; regulatory authorities where required.
17. Third-Party Services
The platform may integrate third-party services including payment processors. NDeight is not responsible for third-party service performance.
18. Limitation of Liability
To the maximum extent permitted by law, NDeight shall not be liable for: indirect damages; lost profits; business interruption.
Total liability shall not exceed the fees paid to NDeight within the last 12 months.
19. Indemnification
Merchants agree to indemnify and hold harmless NDeight from claims arising from: their products or services; regulatory violations; intellectual property infringement.
20. Modifications to the Terms
NDeight may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the revised Terms.
21. Governing Law
These Terms shall be governed by the laws of the applicable jurisdiction where NDeight is incorporated.
